M&A activity

  • Texas Department of Banking has approved the merger of equals between Houston-based peers Allegiance Bancshares Inc. and CBTX Inc. The combined company is to be named Stellar Bancorp Inc. and Stellar Bank as its banking subsidiary. The merger is expected to close in the third quarter.
  • The Texas Department of Banking has approved the merger of equals between Allegiance Bancshares Inc., the holding company for Allegiance Bank, and CBTX Inc., the holding company for CommunityBank of Texas NA.
  • Corpus Christi-based American Bank NA, a subsidiary of American Bank Holding Corp., agreed to acquire Universal City-based TexStar National Bank. The transaction is pending regulatory approvals.
  • According to the San Angelo (Texas) Standard-Times, Pinnacle Bank, a subsidiary of Pinnacle Bancorp Inc., has agreed to acquire San Antonio-based Crockett National Bank.
  • Origin Bancorp, Inc., Ruston, La., to acquire BT Holdings, Inc., and thereby acquire BTH Bank National Association, both of Quitman.
  • Access Bancorp Inc., the parent company of AccessBank Texas, completed its merger with Texas State Bankshares Inc., the parent company of Texas Regional Bank.
  • Harlingen-based Texas State Bankshares, Inc., has completed its acquisition of Denton-based AccessBank Texas with Texas Regional Bank.
  • The First National Bank of Kemp has completed its merger with The First State Bank, Rice.
  • Broadway Bancshares Inc. will acquire 100% of the voting shares of Gilbert, Minn.-based First National Bank of Gilbert, according to a Federal Reserve.

Charters

  • On April 14, 2022, the Texas Department of Banking approved a Texas state charter for Texas Traditions Bank, Katy. This is the first de novo state bank charter since September 2019.

Conversions

  • Bank of Houston, N.A., has completed its conversion to a Texas state-chartered bankfrom a national banking association. The bank will begin operating under its new charter as Bank of Houston effective June 22, 2022.
  • The National Bank of Texas has been approved to convert its name to NBT Financial Bank.
  • Capital Bank of Texas, Carrizo Springs, authorized to change its name to PrimeBank of Texas.

  • Bank of Texas approved to relocate its Midland branch to El Paso.
  • BOC Bank, McLean, authorized to open branches in Shamrock and Miami.
  • Frost Bank, San Antonio, approved to establish a branch in Denton, Dallas, Plano, Houston and Frisco.
  • Jefferson Bank, San Antonio, authorized to establish additional branch in San Antonio.
  • PlainsCapital Bank, University Park, authorized to establish a branch in Denton.
  • Prosperity Bank, El Campo, authorized to establish a branch in San Angelo.
  • Susser Bank, Dallas, authorized to establish a branch in Houston.
  • Western Bank, Lubbock, authorized to establish a branch in Amarillo.
  • United Texas Bank, Dallas, authorized to establish a branch in Dallas.

  • Freedom Bank, Alamo, filed to establish a branch in San Diego.
  • Oakwood Bank, Dallas, filed to open a branch in Dallas.
